This post will be related with special provisions related to Single Shareholder Company (SSC) contained in Chapter 15 of the Companies Act, 2063. You need to remember that these are not the only provisions related to a private company. These are some special provision (actually some facility / exemption from other statutory provisions related to company) in addition to all other matters related to private company. Further the note attached herewith is only for study reference purpose for Chapter 15 of the Act. So this should not be taken as a legal or professional advice in relation to matters related with single shareholder company.
If you are viewing from outside of Nepal, then to let you know, Companies Act, 2063 is the currently prevailing company law in Nepal.
Now to go through the basics, a SSC can only be a private company since to be a public company there needs to be minimum of 7 shareholders. So, other matters related with a private company which are not relieved by this chapter needs to be followed by that particular SSC.
